Terms governing use of Contruence's websites and public-facing membership experience.
Acceptance
By using contruence.com, membership.contruence.com, or another Contruence page that links to these terms, you agree to these Terms of Use. If you do not agree, do not use the sites.
Website information and services
The sites describe Contruence's advisory, speaking, institutional, and membership services. Public examples, calculators, projections, dashboards, sample institutions, and sample member records are illustrative unless expressly stated otherwise. They do not guarantee results.
Client agreements control
Services provided to a client institution are governed by a separate written agreement. If that agreement conflicts with these website terms, the signed client agreement controls for those services. These terms do not replace a data-processing addendum, statement of work, or the membership terms adopted by a client institution.
Membership programs and payments
Client institutions determine their membership levels, benefits, prices, communications, cancellation practices, and use of membership proceeds. Payments are processed through third-party payment providers. Unless expressly stated in writing, Contruence does not guarantee that a payment is tax deductible or that an institution will deliver a particular benefit.
Use of the sites
You may use the sites for lawful purposes. You may not interfere with site operation, attempt unauthorized access, introduce malicious code, scrape or copy substantial portions of the sites through automated means, misrepresent your identity, or use the sites to violate another person's rights.
Intellectual property
The Contruence name, site design, written materials, frameworks, software, graphics, and other original content are owned by Contruence or used with permission. You may not reproduce, distribute, modify, or commercially exploit them without written permission, except for ordinary personal or organizational evaluation of Contruence's services.
Professional judgment
Website content, sample projections, and any automated or AI-assisted observations are provided for general informational purposes. They are not legal, tax, accounting, investment, or other regulated professional advice. Decisions should reflect the institution's circumstances and appropriate human judgment.
Third-party services
The sites may link to third-party platforms, including scheduling, payment, and social-media services. Contruence does not control and is not responsible for their content, availability, or practices.
Availability and disclaimers
We work to keep the sites useful and secure, but provide them on an "as available" basis. To the fullest extent permitted by law, Contruence disclaims implied warranties regarding the sites, including merchantability, fitness for a particular purpose, and noninfringement.
Limitation of liability
To the fullest extent permitted by law, Contruence will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the public sites. This limitation does not alter obligations contained in a separate signed client agreement and does not apply where prohibited by law.
Changes
We may revise these terms as our sites and services change. Continued use after revised terms are posted means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.
